Terms of Use (End User License Agreement)

Welcome to AgencyCalc Pro. This End User License Agreement ("Agreement" or "Terms") governs your access to and use of the AgencyCalc Pro application ("Application" or "Service"). By downloading, installing, or using this Application, you agree to be bound by these Terms. If you do not agree, do not install or use the Application.

1. Scope of License

We grant you a non-transferable, non-exclusive, revocable license to use the Application on any compatible devices that you own or control, as permitted by the Usage Rules set forth in the Apple App Store Terms of Service and Google Play Terms of Service.

2. Intellectual Property & Code Protections

The structural layout, computational modeling architecture, mathematical balancing algorithms, and user interface designs within this Application remain our exclusive intellectual property. You may not decompile, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Application.

3. Multi-Jurisdictional Calculations & Disclaimer

AgencyCalc Pro is a Configure, Price, Quote (CPQ) platform designed to allow users to manually input localized statutory payroll assumptions, tax configurations, and employment costs. All calculations, pricing models, and margin estimations generated serve exclusively as validation heuristics. They do not constitute formal global legal financial certifications, definitive accounting audits, or official tax counsel. Users bear sole responsibility for verifying all computational outputs against local statutory parameters and regulatory frameworks within their specific territory.

4. Limitation of Liability & App Store Exclusions

To the maximum extent permitted by applicable law, AgencyCalc Pro shall not be liable for any financial losses, compliance failures, pricing inaccuracies, or incidental damages resulting from your use of the Application. You explicitly acknowledge that:

• Apple Inc. and Google LLC have absolutely no obligation whatsoever to furnish any maintenance and support services with respect to the Application.
• In the event of any failure of the Application to conform to any applicable warranty, any liability is strictly limited to the application platform, and Apple/Google will have no other warranty obligation whatsoever.
• Apple and Google are not responsible for addressing any claims relating to the Application, including product liability claims, consumer protection claims, or intellectual property infringement claims.

5. Third-Party Beneficiary

You acknowledge and agree that Apple and Google, and their subsidiaries, are third-party beneficiaries of this Agreement. Upon your acceptance of these Terms, Apple and Google will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

6. Legal Compliance & Sanctions

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
